Effective July 1st, 2019

We, SNIC INSURANCE B.S.C. (c) ("SNIC"), provides online services through our employee benefit platform (the “Platform”). You can use the Platform to obtain information and access to our services, products and offerings ("Online Services").

By accessing the Platform, you are agreeing to be bound to these terms and conditions of use, along with any additional terms or conditions within the Platform itself (collectively "Terms and Conditions"). Other products and services available on the Platform may be subject to their own terms and conditions ("Products and Services Terms") and you agree to be bound to those terms and conditions. Where the Products and Services Terms are inconsistent with these Terms and Conditions, the Products and Services Terms will govern.

By accessing the Platform, you are agreeing to receive SNIC offers unless otherwise you send unsubscription request to the Company.

SNIC reserves the right to change or modify these Terms and Conditions at any time without prior notice to you. Such change or modification will take effect once posted on the Platform. You agree to be bound by any changes or modification to these Terms and Conditions when you use the Platform after a change is posted.
Information regarding your account
Your account
You will need to create your own account to access the Platform and use our Online Services. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account or password.

SNIC reserves the right, in its sole discretion, to refuse service, terminate accounts, terminate your rights to use the Online Services in the event you are in breach of these Terms and Conditions.

Termination of the account will result in the deactivation or disablement of your account and access to it, and the deletion of content you collected through use of the featured products and services.

Once you close your account or leave your organization, you will no longer have access to the Platform. Alternative access will be provided and new product rates/charges may be applied for the continuation of any products purchased through the Platform.
Personal information
In order to provide the Online Services, SNIC will collect, use and, in some cases, disclose certain information about you to third parties. Our Privacy Policy explains how we collect, use and share user information.

SNIC takes your privacy and online security very seriously. We will protect personal information by reasonable security safeguards against loss or theft, as well as unauthorized access, disclosure, copying, use or modification.
Updating your personal information
You are responsible for updating any changes to your personal information, such as your name, telephone number, email address or other personal information directly through the Platform.
Use of the Online Services
Electronic Communications
When you use the Online Services or send e-mails, text messages, and other communications from your desktop or mobile device to us, you may be communicating with us electronically. SNIC may also send you information applicable to your use of the Online Services electronically. Such information may include policy documents, quotes, billing statements, transaction receipts, updates, notifications or other information you request, documents requiring your signature, or any other documents ("Communications"). You consent to receive Communications from us electronically, as well as e-mails, texts, mobile push notices, or notices and messages on the Platform or through our message centre. Your consent does not mean that SNIC must provide the Communications electronically and as a part of the Online Services, some of these Communications may be made provided to you in non-electronic form. You agree that all agreements, notices, disclosures, and other Communications that we provide to you electronically satisfy any legal requirement that such communications be in writing or in a form that you may keep.

To receive, access and reply to Communications, your system must have the ability to either download or print agreements, including PDF files, webpages and embedded HTML files. In some cases, you must print, complete, and sign Communications with a pen, and then return them to SNIC according to the instructions on the document. To do this, you must have a functioning printer connected to your personal computer or other access device that is able to print Communications.
Electronic signatures
As part of the Online Services, you may be given the option to sign certain Communications electronically by either ticking the appropriate box or following a similar process outlined online. You agree that by checking the appropriate box applicable to the Communication or following the alternative process outlined online, you are providing your electronic signature (“E-Signature”). Without limiting the generality of this provision, any act of submitting a relevant application through the Platform is deemed to include the provision of your E-Signature and shall be legally binding whether it includes your signature (in any form) or not. You confirm that your E-Signature constitutes your agreement to be bound by the terms and conditions in such Communication. You also agree that no certification authority or other third party verification is necessary to validate your E-Signature.
Online Claims terms and conditions
As part of the Online Services, you are provided with the option to submit your claims online (“Claims Online”). You must submit all claims related documents and photographs, as per the requirements set out online in respect of each claim category. You may have to email or mail some documents to your claims representative. All uploaded photos and documents become the property of SNIC and will be used in the investigation, evaluation and resolution of your claim, and for any other business purpose.

Electronic access to claim information and the ability to submit claims online, does not replace communications with the claims adjuster and/or written claim correspondence. For additional information concerning a claim, you should contact your assigned adjuster. Submission of the claim and documents online is not an indication that SNIC has confirmed the accuracy of the reported information or that we have completed our claim investigation.

Coverage information displayed on the Platform does not replace or modify any provisions of your policy or your policy Declarations Page. You should read your policy and policy Declarations Page for complete information on your coverage. If there is any conflict between the policy, your policy Declarations page and the information on the Platform, the provisions of the policy and policy Declarations Page shall prevail.

If you’re a SNIC member and you employer cancels your policy with SNIC, access to Claims Online in respect of that policy will discontinue on the date of cancellation of the policy. With regards to any claims submitted, SNIC will continue to investigate and evaluate your claim in accordance with the terms and conditions of the policy and applicable law.
Your use of the Platform
All material (including without limitation text, images, audio and video material, audiovisual material, comments and otherwise) and communication that you make to or through portions of the Platform that permit uploading of questions, comments or for whatever purpose are considered "User Content."

You agree that all your User Content is subject to the terms set forth herein. You agree that your User Content:
  • will not contain any material that is illegal, indecent, profane, threatening, derogatory or defamatory;
  • will not constitute commercial solicitation or consist primarily of an unsolicited electronic mass mailing;
  • will not invoke malicious software code;
  • will not be in breach of third party rights (including intellectual property rights and rights to privacy), applicable laws or these Terms and Conditions.
You agree to use a valid email address and represent that you are the individual identified by the address in all User Content submissions. You grant SNIC a worldwide, irrevocable, non-exclusive, royalty-free, license to use, reproduce, edit, adapt, publish, translate and distribute your User Content for any purpose, anywhere in the world, in any existing or future media.

Unless you have expressly requested anonymity, SNIC or third parties licensed by SNIC will have the right to attribute the User Content to you. SNIC reserves the right, in its sole discretion, to use the User Content but is under no obligation to do so. SNIC reserves the right, in its sole discretion to remove the User Content from the Platform.
Intellectual property, trademarks and copyrights
Intellectual property
Intellectual property, including copyright, trademarks and service marks, are protected under various international treaties, other proprietary rights and laws. You agree to abide by all such applicable proprietary rights and laws, as well as the proprietary rights notices and other restrictions contained in these Terms and Conditions.
Trademark notice
The trademarks, trade names, service marks, service names and logos (“Marks”) displayed on the Platform and any additions or modifications to the foregoing from time to time are proprietary to SNIC and/or our suppliers. You may not use or reproduce any Marks for any purpose (including, but not limited to, use on other materials, as domain names or as metatags), without the written permission of SNIC and/or our suppliers, as the case may be.
Copyright Notice
All content, information, photographs, artwork and other graphic materials (“Content”) available on or through the Platform is proprietary to SNIC. You may not copy, distribute, publish, sell, license, create derivative works or use any Content for commercial or public purposes, without the prior written permission of SNIC and/or its suppliers, as the case may be.
Infringement of Intellectual Property
If you believe that your intellectual property rights (including but not limited to, copyright, trademark, and patents), have been infringed, you may submit a written claim of infringement at:

Written claims concerning intellectual property infringement must include the following information:
  • A physical or electronic signature of the person authorized to act on behalf of the owner of the copyright interest;
  • A description of the intellectual property that you claim has been infringed upon;
  • A description of where the material that you claim is infringing is located on the Platform;
  • Your address, telephone number, and e-mail address;
  • A statement by you that you have a good-faith belief that the disputed use is not authorized by the owner, its agent, or pursuant to the law; and
  • A statement by you, [made under penalty of perjury], that the above information in your notice is accurate and that you are the owner or authorized to act on the owner's behalf.
If you believe that your content that was removed or to which access was disabled from the Platform, is not infringing, or that you have the authorization from the owner, its agent, or pursuant to the law, to post and use the material in your content, you may send a counter-notice containing the following information:
  • Your physical or electronic signature
  • Identification of the content that has been removed (or to which access has been disabled) and the location where the content appeared before it was removed or disabled
  • A statement that you have a good faith belief that the content was removed or disabled as a result of a mistake or a misidentification of the content
  • Your name, address, telephone number and email address
If a counter-notice is received by SNIC, SNIC may send a copy of the counter-notice to the original complaining party informing them that we may replace the removed content or cease disabling it. Replacing or restoring content is at SNIC’s sole discretion.

We endeavour to respond in a reasonable timeframe to the concerns of rights owners about any alleged infringement.
License and reproduction
The Terms and Conditions grant you no right, title or interest in SNIC's Intellectual Property or any Content. You are granted a nonexclusive, non-transferable, limited and revocable right to access, use and display the Platform solely for your non-commercial personal use.

Except as expressly provided herein, no portion of the Platform, its Contents, any intellectual property or any other proprietary information of SNIC (collectively, the "Intellectual Property") displayed on the Platform or on any of the Content may be reproduced, altered, removed, transmitted, published or distributed (whether electronically or otherwise), without the prior written permission of SNIC. Use of any SNIC Marks as metatags on any third-party website is strictly prohibited. You may not co-brand the Platform or display the Platform in frames (or any of the Content through inline links) without the prior written permission of SNIC. "Co-brand" means your display of any of the Intellectual Property (or your taking of other means of attribution or identification of SNIC) in such a manner reasonably likely to give a third party the impression that you or such third party has the right to display, publish or distribute the Platform or any of its Content. You agree to cooperate with SNIC in causing any unauthorized co-branding, framing or linking to immediately cease.
Hyperlinks
SNIC may authorize linked websites to or from the Platform. SNIC has no control over linked websites and disclaims all liability in relation to any content available on those websites. The fact that SNIC authorizes linked websites does not represent any endorsement of or affiliation with the linked websites. SNIC disclaims all liability, directly or indirectly, for any damage or loss caused by or in connection with use of or reliance on any content, products or services available on or through any linked website.
Using other aggregation websites
Some companies may offer aggregation websites and services that allow you to consolidate your financial account information from all of the financial institutions you do business view all your account information at one online location. For this purpose, an aggregation provider may request access to your financial information, usernames and passwords. SNIC is not responsible for the use or disclosure of any personal information accessed by any company or person to whom you provide your Platform username and password.
Information about the Platform and Products
SNIC makes no representation that Content on the Platform is appropriate or applicable for use in any other country. You understand and agree that your access of the Platform and conducting any transactions is at your own risk. You are responsible for compliance with all local laws. These Terms and Conditions shall be governed by (and construed in accordance with) the laws of Bahrain. You consent to exclusive jurisdiction and venue in Manama, Bahrain and waive any defence on the basis of forum non conveniens.
Products and services offered on this Platform
The product and/or services descriptions, provided on this Platform are not intended to constitute offers to sell or solicitations in connection with any product or service.

All products may not be available in all countries and may be offered only through corporate membership or other plan sponsors. Specific products may not be available in both self-funded and insured forms. SNIC may at any time, at its own discretion and without notice, amend, modify, discontinue or delete a product or service offered through or on the Platform.

Covered services and preferred benefits are provided under the terms of the applicable plan contract, including limitations and exclusions.

Information relating to products offered through the Platform, including related descriptions, terms and coverages listed on the Platform are provided for information purposes only and do not replace or modify the descriptions, terms and coverage contained in your insurance contract. Covered services and preferred benefits, including limitations and exclusions, are provided under the terms of the applicable plan contract.

Investment involve risks, variables and uncertainties, and may include the loss of your principal investment. The values of investments and income from them can fluctuate and information about current values or past performance is no indicator of future values or performance.

The information provided on the Platform is not an offer, invitation or inducement to purchase any product or service, enter into any investment, or conclude any transaction.
Disclaimer of warranties
All information and other materials present on the Platform ("content"), including (without limitation) products and services, are provided "as is."

SNIC disclaims all warranties, express or implied, including but not limited to any warranties of merchantability, fitness for a particular purpose, title, non-infringement, security or accuracy with regard to any website owned by a third party to which or from which the Platform is linked ("linked website"). SNIC does not endorse and is not responsible for the capabilities or reliability of any product or service obtained from a linked website.

SNIC will always use its best endeavors to reflect information, products, software, or services published and described on the Website or any linked website as accurately and error- free as reasonably possible. With that being said, you acknowledge and agree that sometimes the information and descriptions regarding products, software or services may not be accurately reflected due to changes, improvements, modifications or updates that may occur on the Website or linked websites from time to time, and that the information and descriptions seen on the Website or linked websites may be viewed by you prior to those changes, improvements, modifications or updates taking place, which may affect the accuracy of the information and descriptions. Therefore, you hereby agree to exclude SNIC’s liability, hold SNIC harmless and acknowledge SNIC’s right to disclaim any liability due to any inaccuracies or misinformation that may reasonably occur in the information and descriptions presented on the Website.

SNIC does not endorse and is not responsible for the accuracy or reliability of any opinion, advice or statement made through the Platform by any party other than SNIC.

SNIC makes no representations, warranties or guarantees that the Platform will be accessible continuously and without interruption or errors.
Limitation of liabilities
SNIC’s liabilities
In no event will SNIC, its respective service providers, employees, agents, officers and directors be liable to you for any punitive, indirect, direct, special, incidental or consequential damages. This includes any lost profits, costs of obtaining substitute service or lost opportunity, even if you’ve notified SNIC about the possibility of such damages. This also includes any claims by any third parties arising out of (or in any way related to) the access, use or Content of the Platform or a linked website.

This limitation on liability includes (but is not limited to) transmission of viruses that infects a user's equipment, mechanic or electronic equipment failure, failure of communication lines, telephone or other interconnects, unauthorized access, theft, operational errors, strikes or other labor problems, or any force majeure.
Your liabilities
SNIC has the right to deny you access and use of the Platform and its Content if you violate (as SNIC may determine in its sole and absolute discretion) any provision of the Terms and Conditions. SNIC reserves the right to seek all other remedies available at law and in equity. You agree, at your own expense, to defend, indemnify and hold SNIC harmless from any claim or demand (including reasonable attorneys' fees) made by a third party in connection with (or arising out of your access to, or use of) the Platform or any of its Content in a manner other than as expressly authorized by the Terms and Conditions. This includes your breach of the Terms and Conditions, or your violation of applicable laws or any rights of any third party.
Privacy Policy
Access to the Platform and use of the Online Services offered on the Platform is subject to this privacy policy (“Privacy Policy”). By accessing the Platform and by continuing to use the services offered, you are deemed to have accepted this Privacy Policy, and in particular, you are deemed to have consented to our use and disclosure of your Personal Information in the manner prescribed in this Privacy Policy and for the purposes set out in these Terms and Conditions. SNIC reserves the right to amend this Privacy Policy from time to time. If you disagree with any part of this Privacy Policy, you must immediately discontinue your access to the Platform and your use of the Online Services.

In order to provide the Online our Services, SNIC will collect, use and, in some cases, disclose personal information (“Personal Information”) about you to third parties. This Privacy Policy serves to help you to understand how we collect, use, communicate and disclose and make use of your Personal Information when you use the Online Services on the Platform:-
  1. We will collect and use Personal Information solely with the objective of providing the Online Services, reviewing trends and preferences with a view to presenting you with options relating to products, product information and product ranges, special offers and for other compatible purposes, and for purposes of undertaking analysis and tracking of data, rends and preferences.
  2. We will only transfer Personal Information in order to service policies to such third parties such as funds managers for saving schemes and third party administrators for medical policy administration or motor road assistance.
  3. We will only retain Personal Information as long as necessary for the fulfilment of those purposes and in accordance with the data protection legislation in Bahrain.
  4. We will collect Personal Information by lawful and fair means and, where appropriate, with the knowledge or consent of the individual concerned.
  5. Personal Information should be relevant to the purposes for which it is to be used, and, to the extent necessary for those purposes, should be accurate, complete, and up-to-date.
  6. We will protect Personal Information by reasonable security safeguards against loss or theft, as well as unauthorized access, disclosure, copying, use or modification.
We are committed to conducting our business in accordance with these principles in order to ensure that the confidentiality of personal information is protected and maintained.
Information about this agreement
Entire agreement
Except as otherwise set forth in the Terms and Conditions, these Terms and Conditions set out the entire understanding between SNIC and you with respect to your access to, and use of, the Platform and its content. These Terms and Conditions replace all prior or simultaneous understandings about access and use.
Severability
If any portion of these Terms and Conditions is held to be unenforceable, the remaining sections of the Terms and Conditions will remain in effect.
Waiver
Failure by SNIC, in any instance, to exercise any of its rights under the Terms and Conditions will not constitute a waiver of such right or any other rights under the Terms and Conditions.
